Terms of Service

These SudaWeb Customer Terms of Service (“Terms”) are entered into between Tianfu Business Consulting Service (HK) Limited (“SudaWeb,” “we,” “us,” or “our”) and the individual or entity that registers for, purchases, or uses SudaWeb (“Customer,” “you,” or “your”). These Terms apply to the website-building, content management, publishing, hosting, collaboration, artificial intelligence-assisted, and related services available through app.sudaweb.ai (collectively, the “Services”).

These Terms govern our relationship with Customers. They do not serve as terms for visitors, members, consumers, or other end users of a website created by a Customer. Each Customer must publish its own privacy notice, cookie notice, customer terms, and refund rules where applicable.

1. Acceptance and eligibility

By creating an Account or Project, clicking to accept, purchasing a Plan, or using the Services, you agree to these Terms, the SudaWeb Customer Privacy Policy, the SudaWeb Refund and Subscription Cancellation Policy, and any additional terms clearly presented at checkout.

If you use the Services for an entity, you represent that you have authority to bind that entity. You must be at least 18 years old and legally capable of entering into a binding contract.

2. Definitions

  • Account means the account used to access the Services.
  • Customer means the individual or entity registered to use the Services, including its authorized administrators and members.
  • Project means a website and its related workspace created and managed through the Services.
  • Customer Content means text, images, video, branding, pages, code, files, and other material uploaded, created, submitted, generated, imported, or published by a Customer or its members.
  • Customer Business Data means information a Customer collects or manages through a Project, including form submissions, customer details, orders, or other End User data where the relevant feature is available.
  • End User means a person who visits or uses a Customer’s website or transacts with the Customer.
  • Paid Term means the period for which the Customer has paid for a Plan.

3. Accounts, Projects, and members

You must provide accurate and complete information and keep it current. You are responsible for protecting login credentials, configuring member permissions appropriately, and activities performed within the scope of permissions you grant.

If ownership of an Account or Project is disputed, we may request evidence such as control of the registered email address, payment records, company authorization, or trademark ownership. We may temporarily restrict transfers, publishing, or administration while the dispute is being resolved.

4. Services and license

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services during the applicable Paid Term. Features, capacity, member and Project limits, publishing limits, and other entitlements are those displayed for your Plan when you purchase it.

We may improve the Services and add, modify, or discontinue features. If a change materially reduces a core feature of a current paid Plan, we will use reasonable efforts to provide advance notice, except where a change is required for legal, security, or urgent operational reasons.

Free, beta, preview, or trial features may be changed or discontinued at any time and are not promised for long-term use.

5. Customer responsibilities

You are responsible for your Projects, Customer Content, Customer Business Data, and business activities conducted through your Projects. You must:

  • ensure that Customer Content is lawful, accurate, and does not infringe intellectual property, privacy, publicity, or other rights;
  • obtain all rights, permissions, notices, and consents needed to upload, publish, and process content and personal data;
  • provide End Users with an accurate and accessible privacy notice, cookie notice, customer terms, refund policy, and other legally required disclosures;
  • take responsibility for products, services, prices, claims, promotions, order fulfillment, customer support, and disputes presented through your Projects;
  • obtain and maintain permits, registrations, licenses, and approvals required for your business and websites;
  • maintain the validity and security of custom domains, third-party accounts, and connected services; and
  • keep copies of Customer Content and Customer Business Data appropriate to your business needs.

SudaWeb provides website-building and related tools. We are not the seller, merchant, agent, guarantor, or contracting party for products or services offered by a Customer. Transactions and disputes between a Customer and its End Users are the Customer’s responsibility.

6. Acceptable use

You must not use or assist others to use the Services to:

  • violate law, regulation, sanctions, a court order, or another person’s rights;
  • publish fraudulent, deceptive, defamatory, obscene, violent, discriminatory, exploitative, or otherwise unlawful or harmful material;
  • distribute malware, conduct phishing or fraud, gain unauthorized access, disrupt the Services, evade security controls, or abuse platform resources;
  • collect, sell, disclose, or process personal data without lawful authority;
  • impersonate others or hide business identity, prices, or transaction terms that must legally be disclosed;
  • resell, rent, or sublicense the Services in violation of these Terms;
  • scrape, copy, or consume the Services at scale in a way that harms the platform or other Customers; or
  • conduct activities prohibited by our payment, infrastructure, or other essential service providers.

If we reasonably believe content or conduct is unlawful, infringing, dangerous, or likely to harm the Services, other Customers, or the public, we may require remediation, restrict access, disable publishing, remove content, or suspend an Account. We will use reasonable efforts to notify you unless the matter is urgent or notice is prohibited by law.

7. Customer Content and intellectual property

As between you and SudaWeb, you retain the rights you lawfully hold in Customer Content. You grant us and service providers acting on our behalf a worldwide, non-exclusive, royalty-free, limited license to host, store, reproduce, format, transmit, display, and otherwise process Customer Content only as reasonably needed to provide, maintain, secure, and improve the Services, follow your instructions, and comply with law.

You represent that you have all rights needed to grant this license. Once Customer Content is published to the internet, it may be accessed, copied, or redistributed by others. You are responsible for deciding what to publish.

The Services, software, interface, template system, trademarks, documentation, and related improvements, excluding Customer Content, are owned by SudaWeb or the relevant rights holders. These Terms do not transfer those rights to you.

If you provide feedback, we may use it to improve the Services without restriction or compensation. Feedback does not give us ownership of your Customer Content.

8. AI-assisted features

Some Services may generate or modify text, images, pages, or other material in response to Customer instructions. AI output may be inaccurate, incomplete, unsuitable for a particular purpose, or similar to output provided to others. You must review output before publishing or relying on it and remain responsible for its final use.

Do not submit personal data, confidential information, or protected material that you are not authorized to process. Inputs and outputs may be processed by providers that help us deliver AI functionality, as explained in the SudaWeb Customer Privacy Policy.

To the extent permitted by law, you may use output in accordance with these Terms. We do not guarantee that output is unique, eligible for intellectual property protection, or non-infringing.

9. Customer Business Data and End Users

For personal data that a Customer collects for its own business purposes, the Customer generally determines the purposes and means of processing. SudaWeb processes that data only to provide the Services, follow the Customer’s instructions, maintain security, and comply with law.

The Customer must:

  • tell End Users what data is collected, why it is used, how long it is kept, who receives it, and how rights may be exercised;
  • obtain legally required consent or another lawful basis;
  • respond to access, correction, deletion, objection, consent withdrawal, and similar requests;
  • avoid collecting highly sensitive data that the Services are not designed to process; and
  • notify us promptly of a security incident affecting Customer Business Data and make any notice required to End Users or authorities.

If an End User contacts us about Customer Business Data, we will normally direct the request to the relevant Customer unless law requires us to respond directly.

10. Third-party services

You may choose to connect domains, payment services, email tools, analytics, AI providers, or other third-party services. Each third-party service is controlled by its provider and subject to its own terms, privacy policy, and fees. We do not control or guarantee third-party services.

A change, suspension, or termination by a third-party provider may affect a related feature. We will provide reasonable troubleshooting assistance where practical but are not responsible for interruptions caused by third parties, except where applicable law requires otherwise.

11. Subscriptions, fees, and automatic renewal

Paid Plans are charged in advance at the price, currency, and billing interval shown at checkout. Unless checkout states otherwise, monthly and annual subscriptions automatically renew until the Customer cancels automatic renewal. Payments are currently processed through Stripe.

You authorize us and our payment service providers to charge the selected payment method at the start of each new billing period for Plan fees and any taxes or other amounts shown before payment. A transaction may also be subject to the payment terms displayed by the payment provider at checkout. If payment fails, we may retry the charge, request an updated payment method, restrict paid features, or suspend the Services.

We may change prices for a future billing period after advance notice required by law or provided within a reasonable period. A price change does not retroactively alter a Paid Term that has already been paid.

12. Subscription cancellation

Cancelling a subscription only stops future recurring charges. It does not issue a refund.

After cancellation:

  • the current paid Plan remains active until the Paid Term ends;
  • the Customer may continue using the current paid Plan until that date;
  • when the Paid Term ends, the Project moves to the Free Plan then available;
  • Free Plan features and limits will apply, and some paid features may no longer be available; and
  • no fee for the current Paid Term is refunded merely because the subscription was cancelled.

A Customer seeking money back must make a separate refund request under the next section and the SudaWeb Refund and Subscription Cancellation Policy. Cancellation and refund are separate actions with different effects.

13. Refunds

A Customer may request a full refund of an eligible subscription charge by emailing [email protected]:

  • for a monthly subscription, within 48 hours after each successful charge; or
  • for an annual subscription, within 7 calendar days after each successful charge.

Once we confirm eligibility and begin processing the refund, the paid Plan associated with that charge ends immediately and the Project immediately moves to the Free Plan. This differs from cancellation, where the paid Plan continues until the end of the Paid Term.

After the applicable window, charges are non-refundable and are not prorated for unused time, except where required by law or for a duplicate charge, unauthorized payment, or verified billing error. Third-party products, consumed one-time services, and items clearly identified as non-refundable before purchase are excluded from the subscription refund.

14. Suspension, termination, and data

You may stop using the Services or request Account closure. Account closure does not by itself entitle you to a refund.

We may restrict, suspend, or terminate affected Services if you materially or repeatedly breach these Terms, fail to pay amounts due, create a genuine security risk, or if law requires us to act. Except for urgent matters, unlawful content, or where notice is prohibited, we will use reasonable efforts to provide notice and a reasonable opportunity to cure.

When a Service ends or a Project moves to the Free Plan, Free Plan limits apply immediately. Features, publishing, or editing that exceed those limits may become unavailable. You should export information you need while the Account remains active. We retain or delete data under the SudaWeb Customer Privacy Policy and applicable law.

Provisions that by their nature should survive termination remain in effect, including payment obligations, intellectual property, confidentiality, liability limitations, dispute provisions, and data obligations.

15. Confidentiality

Confidential Information is non-public information disclosed by one party that should reasonably be understood as confidential given its nature or the circumstances of disclosure. The receiving party may use it only to perform these Terms and must take reasonable measures against unauthorized disclosure.

Information is not Confidential Information if it is public without breach, was lawfully known before disclosure, is received lawfully from a third party without a confidentiality duty, or is independently developed. A receiving party may disclose information when legally required, limited to what must be disclosed, and will give advance notice when legally permitted.

16. Availability and disclaimers

We will provide the Services with reasonable skill and care and use reasonable measures to maintain security and availability. Online services may nevertheless be interrupted by maintenance, networks, third-party providers, security events, or circumstances beyond reasonable control.

Except for warranties that cannot lawfully be excluded, the Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation or any particular traffic, search ranking, revenue, regulatory approval, domain verification, or other business outcome.

17. Limitation of liability

Neither party is liable to the other for indirect, incidental, special, exemplary, or punitive damages, or for indirect loss of profits, revenue, goodwill, opportunity, or data, except where such a limitation is prohibited by law.

To the maximum extent permitted by law, SudaWeb’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount the Customer actually paid for the affected Services during the 12 months preceding the event giving rise to liability. For Free Services, total liability will not exceed USD 100.

These limitations do not apply to liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, death or personal injury caused by negligence where applicable, infringement of intellectual property rights, or breach of confidentiality.

18. Customer indemnity

To the extent permitted by law, the Customer will defend, indemnify, and hold SudaWeb harmless from third-party claims and reasonable losses arising from Customer Content, the Customer’s business activities, the Customer’s processing of End User data, or the Customer’s breach of these Terms. We will provide prompt notice and allow the Customer to participate in the defense and settlement, provided a settlement does not impose liability or an admission on SudaWeb without our written consent.

19. Changes and notices

We may update these Terms for changes in law, security, the Services, or our business. If an update materially affects Customer rights or obligations, we will provide advance notice through the website, Account, or registered email, except where immediate effect is legally required.

Continued use after the effective date constitutes acceptance. If you do not agree to a material update, you may cancel automatic renewal before it takes effect and stop using the Services when the current Paid Term ends.

Notices sent to the registered email address or posted in the Account are effective notices. You are responsible for keeping contact information current.

20. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. The courts of Hong Kong have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

If mandatory consumer law in your place of residence applies and cannot legally be waived, these Terms do not limit those mandatory rights.

21. General

These Terms, the SudaWeb Customer Privacy Policy, the SudaWeb Refund and Subscription Cancellation Policy, checkout terms, and any signed order or written agreement form the entire agreement about the Services. A separately signed agreement controls to the extent it expressly conflicts with these Terms.

If a provision is unenforceable, the remaining provisions remain effective. A delay in exercising a right is not a waiver. You may not assign these Terms without our written consent, except as part of a merger, reorganization, or transfer of substantially all relevant business assets.

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between the parties.
